IMPORTANT: THIS SOFTWARE END-USER LICENSE AGREEMENT IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR, IF PURCHASED OR OTHERWISE ACQUIRED BY OR FOR AN ENTITY, AN ENTITY) AND EENOS.COM. READ IT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THE SOFTWARE. AMONG OTHER PROVISIONS, IT PROVIDES A LICENSE TO USE THE SOFTWARE AND CONTAINS TERMINATION AND WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. BY INSTALLING AND USING THE SOFTWARE, YOU CONFIRM YOUR ACCEPTANCE OF THE SOFTWARE AND YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, THEN DO NOT INSTALL THE SOFTWARE AND RETURN THE SOFTWARE TO YOUR WEBSITE OR PLACE OF PURCHASE FOR A FULL REFUND.
Definitions and key terms
- "The Company" means Eenos.com
- "Software" means the software that you are going to use from eenos.com, here EENOS
- "EULA" means the End User License Agreement
- "Partner" means an Eenos partner who has entered into a valid and existing Partner Agreement
- "Intellectual Property Rights" means trade secret rights, rights in know-how, moral rights, copyrights, patents, trademarks (and the goodwill represented thereby), and similar rights of any type under the laws of any governmental authority, domestic or foreign, including all applications for and registrations of any of the foregoing.
- "Term" means the term of this Agreement
- "You" or "Your" means or refers to the individual or entity entering into this Agreement with eenos.com, whether or not such terms are capitalized in this Agreement.
- "We" or "us" or "Eenos" means Eenos.com
THE LICENSE
We grant you a non-exclusive license to use the software if you follow all restrictions in all sections of this agreement. This SOFTWARE MAY OR MAY NOT BE AN OPEN SOURCE OR PROPITIATORY PRODUCT UNDER THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU MUST FOLLOW THE LIMITATIONS IN THIS SOFTWARE AGREEMENT. WE OFFER SPECIFIC PERMISSION TO CUSTOMIZE THE CODE FOR YOUR OWN NEEDS LATER IN THIS AGREEMENT. Technical support and related services are available to those following this agreement at no charge at the community forums and for commercial support from our help desk. We reserve the right to limit or refuse technical support and related services in any form for any reason.
RESTRICTIONS OF USE
You are permitted to:
- Use the software on any server per software license.
- Use the software for the sale of your business, service, studying, and training procedures.
- Copy the software for archival purposes, provided any copy must contain all of the original software's proprietary notices.
- Customize the software's design and operation to suit the internal needs of your business. You may not distribute these modifications/changes without prior consent from the Licensor.
- Create applications that interface with the operation of the software provided said application is an original work.
You are NOT permitted to:
Other individuals to use the software except under the terms listed herein,
- Reverse engineer, disassemble or create derivative works based on the software for distribution or usage outside your website/server excluding those applications described above.
- Re-brand and/or sell the software as your software solution.
- Host the software, download software packages, or redistribute them without written consent from us. Use the software in such a way as to condone or encourage terrorism, promote or provide pirated software, or any other form of illegal or damaging activity.
- Modify and/or remove any copyright notices or labels on the software on each page and in the header/footer and output html of each source file.
LIMITED LIABILITY
THE SOFTWARE IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS BORNE BY THE LICENSEE. SHOULD THE SOFTWARE PROVE DEFECTIVE, THE LICENSEE AND NOT THE LICENSOR ASSUME THE ENTIRE COST OF ANY SERVICE AND REPAIR. IN ADDITION, THE SECURITY MECHANISMS IMPLEMENTED BY EENOS HAVE INHERENT LIMITATIONS, AND YOU MUST DETERMINE THAT THE SOFTWARE SUFFICIENTLY MEETS YOUR REQUIREMENTS. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THE AGREEMENT.
OWNERSHIP
Title, ownership rights, and intellectual property rights in the software shall remain with the Licensor. Copyright laws and treaties of the United States protect this software and any issues that may arise over this will be dealt with in the courts of the United States. Title and related rights in the content accessed through the software are the property of the applicable content owner and may be protected by applicable law.
This license gives you no rights to such content.
TERMINATION
This agreement will terminate automatically if you fail to comply with the limitations described herein. On termination, you must destroy all copies of the software within 48 hours. The Licensee agrees that the sales staff of the Licensor can disable a software license key without notice. A reason will be given to the Licensee on request (e.g. The payment for the software license was reversed as it was deemed fraudulent by the vendor's bank). If this is the case the Eenos access to end user(s) servers will be shut down permanently.
MISCELLANEOUS
The Licensor reserves the right to change the terms of this agreement at any time however those changes are not retroactive to past releases.
Changes to the agreement will be announced via the website at https://eenos.com/ Failure to receive notification of a change does not make those changes invalid. A current copy of this agreement will be available at http://eenos.com/epl All prices are subject to change without notice.
Technical support will NOT be provided for third-party modifications to the software including modifications to code to any license holder.
If the software is modified using a third-party modification instruction or otherwise, technical support may be refused to any license holder.
THIRD-PARTY SOFTWARE AND LICENSES
This software is bundled with a lot of third-party software. For support related to that third-party software, you may need to contact the respective developers. This license does not provide any warranty on third-pary software and does not provide any type of technical support for those applications.
SOFTWARE PRODUCT KEY USAGE
Upon purchase of a software license, you are permitted to operate one of the software. Transfer of software license or ownership is not permitted.
One software license is permitted to be used on a single server only.
